Terms of Service

1. Acceptance of Terms

Welcome to Keystir ("Platform," "Service," "we," "us," or "our"), operated by Vocally Yours LLC, a limited liability company organized under the laws of the State of New Jersey. By accessing or using keystir.com or any associated applications, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.

These Terms constitute a legally binding agreement between you and Vocally Yours LLC. Your continued use of the Service after any modifications to these Terms constitutes acceptance of the modified Terms.

2. Platform Disclaimer

Keystir is a technology platform and does not hold a real estate broker's license. Keystir does not provide real estate brokerage services, legal advice, financial advice, or tax advice. Keystir does not hold, manage, or disburse escrow, trust, or other client funds. All transaction tracking features are organizational tools for informational purposes only and do not constitute financial records or statements.

All information provided through the Service, including property data, market insights, and AI-generated content, is for informational purposes only and should not be relied upon as a substitute for professional advice from a licensed attorney, certified public accountant, financial advisor, or other qualified professional.

In accordance with New Jersey real estate regulations and the National Association of REALTORS® settlement agreement: real estate broker commissions are not set by law and are fully negotiable. In New Jersey, commissions are negotiable.

3. Eligibility

You must meet all of the following criteria to use Keystir:

• You must be at least 18 years of age. By creating an account, you represent and warrant that you are 18 or older. We do not knowingly collect data from individuals under 18, in compliance with the Children's Online Privacy Protection Act (COPPA).
• You must be a United States-based real estate professional (licensed agent, broker, team lead, brokerage administrator, or transaction coordinator), or an individual authorized to act on behalf of such a professional.
• You must have the legal capacity to enter into a binding agreement and not be barred from using the Service under any applicable law.

3. Account Registration and Responsibilities

4.1 Account Creation

To access the Service, you must register for an account by providing accurate, complete, and current information, including a valid email address. We use a passwordless magic-link authentication system powered by Supabase. You are responsible for maintaining the security of your email account and any devices used to access Keystir.

4.2 Account Security

You are solely responsible for all activities that occur under your account. You must immediately notify us at support@keystir.com of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

4.3 Account Accuracy

You agree to keep your registration information accurate and up-to-date. Failure to do so may result in suspension or termination of your account.

5. Subscription Tiers and Billing

5.1 Subscription Plans

Keystir offers multiple subscription tiers, which may include free, individual, team, and enterprise plans. The features, limitations, and pricing of each plan are described on our pricing page and may be updated from time to time.

5.2 Payment Processing

All payments are processed through LemonSqueezy(Lemon Squeezy LLC), our merchant of record. By subscribing to a paid plan, you agree to LemonSqueezy's terms of service in addition to these Terms. We do not directly store your payment card information; all payment data is handled by LemonSqueezy in compliance with PCI-DSS standards.

5.3 Billing Cycle and Renewal

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support@keystir.com. Upon cancellation, you will retain access to paid features until the end of your current billing period. Refunds are handled in accordance with LemonSqueezy's refund policy unless otherwise required by applicable law.

5.5 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' advance notice of any price increase to existing subscribers. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable federal, state, or local law or regulation, including but not limited to the Fair Housing Act, RESPA, TILA, CAN-SPAM Act, or TCPA.
• Use the Service to send unsolicited commercial messages or engage in any form of spam in violation of the CAN-SPAM Act of 2003.
• Use the Service to make unsolicited telephone calls or send text messages in violation of the Telephone Consumer Protection Act (TCPA).
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
• Use automated scripts, bots, or other tools to access the Service or extract data without our express written consent.
• Upload, transmit, or distribute any viruses, malware, or other harmful code.
• Use the Service in any manner that could disable, overburden, or impair the Service or interfere with any other party's use of the Service.
• Use the AI assistant (Joey) to generate content that is discriminatory, harassing, defamatory, or otherwise objectionable.
• Resell, sublicense, or redistribute the Service or any portion thereof without our express written consent.

7. Intellectual Property

7.1 Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, images, graphics, audio, video, and the design, selection, and arrangement thereof) are owned by Vocally Yours LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Trademarks

The following are trademarks or registered trademarks of Vocally Yours LLC:

• Keystir (name and logo)
• Joey the Fox (character and likeness)
• Jersey Home & Heart (brand name and associated assets)

You may not use any of these trademarks without the prior written consent of Vocally Yours LLC, except as necessary to refer to the Service in a factual, non-misleading manner.

7.3 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in connection with your real estate practice.

8. User Content and Data

8.1 Your Content

You retain ownership of all content you upload, submit, or transmit through the Service ("User Content"), including but not limited to client information, transaction data, documents, images, and notes.

8.2 License Grant

By uploading User Content, you grant Vocally Yours LLC a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service. We will not use your User Content for any purpose unrelated to the Service without your consent.

8.3 Responsibility for User Content

You are solely responsible for your User Content and the consequences of uploading or publishing it. You represent and warrant that you have all necessary rights and consents to share any data you upload, including client personal information, and that your use of the Service complies with all applicable real estate regulations and data protection laws.

9. AI Assistant Disclaimer

Keystir includes an AI-powered assistant known as Joey(sometimes referred to as "Joey the Fox"), which is powered by Google's Gemini API for conversational assistance and Anthropic's Claude API for document and image processing. You acknowledge and agree that:

• Joey provides general information only and does not constitute legal, financial, tax, real estate, or professional advice of any kind.
• AI-generated content may contain errors, inaccuracies, or incomplete information. You should independently verify all information before relying on it.
• Joey's responses are not a substitute for consultation with a licensed attorney, certified public accountant, financial advisor, or other qualified professional.
• Vocally Yours LLC is not liable for any decisions made or actions taken based on information provided by Joey.
• Conversations with Joey may be processed by third-party AI providers (Google and Anthropic) subject to their respective privacy policies and terms of service.

10. Third-Party Services

The Service integrates with and relies upon the following third-party services. By using Keystir, you acknowledge that your data may be processed by these providers in accordance with their respective terms and privacy policies:

• Supabase— Database hosting, authentication, and file storage.
• Google (Gemini API)— AI-powered conversational assistant functionality (Joey chat).
• Anthropic (Claude API)— AI-powered document and image processing (Snap & Save).
• Resend— Transactional email delivery.
• LemonSqueezy— Payment processing and subscription management (merchant of record).
• Printful— Print-on-demand fulfillment for marketing materials and merchandise.
• Vercel— Application hosting and deployment.
• OpenWeatherMap— Weather data for location-based features.

We are not responsible for the practices, policies, or availability of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOCALLY YOURS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING AI-GENERATED CONTENT;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
• ANY ERRORS, INACCURACIES, OR OMISSIONS IN AI-GENERATED CONTENT OR MARKET DATA;
• LOSS OF REAL ESTATE TRANSACTIONS, COMMISSIONS, OR BUSINESS OPPORTUNITIES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vocally Yours LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service;
• Your violation of these Terms;
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, privacy, or proprietary right;
• Your violation of any applicable law, rule, or regulation, including real estate licensing laws, fair housing laws, CAN-SPAM, or TCPA;
• Any claim that your User Content caused damage to a third party;
• Any misuse of AI-generated content provided through the Service.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at support@keystir.com or through the account settings within the Service.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13.3 Effect of Termination

Upon termination, we will make your data available for export for a period of thirty (30) days, after which we may delete your data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of New Jersey, and the parties hereby consent to personal jurisdiction and venue therein.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at support@keystir.com and attempt to resolve the dispute informally for at least sixty (60) days.

15.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of New Jersey. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or by posting a prominent notice on the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and Vocally Yours LLC regarding the Service.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet disruptions, or third-party service outages.
